Terms of Service

Terms of Service (also referred to as Terms of Use or Terms and Conditions, abbreviated as ToS or T&C) constitute the legal agreement between CertFusion and any person or entity who uses the Service. By using the Service you agree to be bound by these Terms.


1. Agreement Between You and STATICMAKER PTE. LTD.

1.1 Please read the following Terms of Service ("Terms") carefully. By accessing this website and/or by using our services available at certfusion.com and app.certfusion.com, including our APIs and integrations, you acknowledge that you have read, understood, and agree to be bound by these Terms and the terms of our Privacy Policy. The services are collectively referred to as the "Service" and are offered by STATICMAKER PTE. LTD. (Singapore), UEN 202608894R, registered at 60 Paya Lebar Road, #06-28 Paya Lebar Square, Singapore 409051 ("CertFusion", "we", "us", or "our"). The term "you" (and "your") refers to you in your individual capacity, and if applicable, the company or other legal entity on whose behalf you use the Service.

1.2 In order to use the Service you must agree to these Terms. You may agree by clicking "I Accept", by completing registration, or by actually using the Service. CertFusion will treat your use of the Service as acceptance of these Terms from the time you first use it.

1.3 The Service is provided "AS IS" and without warranties. If you use the Service on behalf of another individual or entity, you represent that you are authorised by such individual or entity to accept these Terms on their behalf.


2. General Terms and Conditions

2.1 CertFusion is incorporated and legally registered in Singapore and holds the required governmental permissions to provide our services.

2.2 By agreeing to these Terms, you also agree to the terms of our Privacy Policy, which is expressly incorporated herein. To the extent of any inconsistency between these Terms and the Privacy Policy, these Terms control.

2.3 You are responsible for maintaining the security of your account and any access credentials. CertFusion cannot and will not be liable for any loss or damage arising from your failure to maintain account security.

2.4 You agree that all personal information provided to CertFusion will be true, accurate, current, and complete, and that you will update such information as necessary. The unauthorised use of third-party logos, trademarks, images, or contact information is prohibited.

2.5 You are responsible for all content uploaded, generated, or distributed under your account.

2.6 You may not use the Service for any illegal purpose or in violation of any applicable law, including but not limited to copyright, data protection, and anti-spam laws.

2.7 You must provide your legal full name, a valid email address, and any other information required to complete the registration or purchase process.

2.8 If you request removal of content you have submitted, CertFusion will review such request and, in its sole discretion, take action in accordance with these Terms and applicable law. CertFusion cannot guarantee removal of content already distributed to third-party platforms.

2.9 Requests for deletion of personal data will be processed within 30 days. Deleted data will be permanently removed or irreversibly anonymised.

2.10 CertFusion reserves the right to refuse service to anyone for any reason at any time.

2.11 Unless specifically requested, CertFusion does not solicit confidential or proprietary information through general communications. Any feedback, suggestions, or ideas submitted by you ("Submitted Materials") will be treated as non-confidential and non-proprietary.

2.12 CertFusion uses third-party vendors and hosting partners (including AWS) to provide the hardware, software, networking, storage, and related technology required to operate the Service.

2.13 Your use of the Service is at your sole risk. The Service is provided on an "as is" and "as available" basis.

2.14 You must not modify, adapt, or attempt to hack the Service or its underlying infrastructure.

2.15 You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without the express written permission of CertFusion.

2.16 Verbal, physical, written, or other abuse (including threats) directed at any CertFusion customer, employee, or officer will result in immediate action, including termination.

2.17 CertFusion shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from: (i) use or inability to use the Service; (ii) unauthorised access to or alteration of your data; (iii) statements or conduct of any third party; or (iv) any other matter relating to the Service.

2.18 This website may contain links to third-party websites. CertFusion is not responsible for the availability, accuracy, or content of such websites. Your use of third-party websites is subject to their own terms and policies.

2.19 CertFusion's failure to exercise any right or provision of these Terms shall not constitute a waiver of that right or provision.

2.20 Any new features added to the Service shall be subject to these Terms. Continued use of the Service after changes are made constitutes your acceptance of such changes.

2.21 CertFusion reserves the right to modify or discontinue, temporarily or permanently, any part of the Service with or without notice.


3. Accounts and API

3.1 To use the Service you must register for a CertFusion account ("Account"). By registering, you represent and warrant that: (a) you are at least 16 years of age; (b) all registration information is true, accurate, current, and complete; (c) you will promptly notify CertFusion of any changes to your information; and (d) your use of the Service does not violate any applicable law, rule, or regulation.

3.2 You are solely responsible for maintaining the security and confidentiality of your Account credentials. You agree to notify CertFusion immediately of any unauthorised use of your Account or any other security breach. CertFusion is not liable for any loss arising from your failure to keep your credentials secure.

3.3 Customers may access account data via the CertFusion Application Programming Interface ("API"). Use of the API, including through third-party tools or integrations (including Zoom, Google Meet, Webex, Typeform, Tally, Google Forms, and other connected platforms), is subject to these Terms and the following:

  • (a) CertFusion shall not be liable for damages resulting from use of the API or third-party products accessing data via the API.
  • (b) Abuse or excessive API requests may result in temporary or permanent suspension of API access, with reasonable prior notice where possible.

4. Subscriptions and Fees

4.1 The fees, if any, required to use the Service and the corresponding usage allocations ("Quota") are set out in the applicable Subscription Plan at certfusion.com/pricing.

4.2 Fees may be paid by credit card or debit card through our payment processor, Stripe.

4.3 Each Subscription commences on the date of purchase and continues on a monthly or annual basis ("Subscription Term") unless terminated. Continued obligations under these Terms survive termination of a Subscription.

4.4 Customers may elect to purchase a Paid Subscription that provides access to features beyond the free tier. Each Paid Subscriber must provide a valid payment method, which will be charged the applicable Subscription Fee on a recurring basis.

4.5 All fees are exclusive of taxes, levies, duties, or similar governmental assessments. You are responsible for all such taxes applicable to your purchase.

4.6 CertFusion reserves the right to suspend or terminate your access to the Service if any fees are not paid when due. Outstanding fees become immediately payable upon termination.

4.7 Refunds: CertFusion does not provide refunds upon cancellation. However, refund requests may be considered on a case-by-case basis at CertFusion's sole discretion.

4.8 Upgrades take effect immediately at a prorated rate for the current billing cycle. Downgrades take effect at the next billing cycle with no proration. Downgrading may result in loss of features or data capacity. CertFusion accepts no liability for such loss.

4.9 Prices are subject to change upon 30 days' notice. Such notice may be provided by email or by posting on the CertFusion website.


5. Service Availability and Support

5.1 CertFusion may temporarily suspend your access to the Service if CertFusion reasonably determines that: (a) there is a security threat or attack on the Service; (b) your use of the Service poses a risk to the Service or other users; (c) you are engaging in fraudulent or illegal activities; or (d) you are in breach of these Terms. CertFusion will make commercially reasonable efforts to provide notice of any suspension.

5.2 CertFusion shall terminate your access to the Service upon termination of your Subscription or non-renewal.

5.3 In the event CertFusion decides to discontinue offering any or all Services, CertFusion shall provide not less than 60 days' written notice by email.


6. Security

6.1 CertFusion will comply with all applicable privacy and data security laws governing its processing and storage of Customer Content. During the Subscription Term, CertFusion shall maintain a security programme designed to protect Customer Content against unauthorised disclosure or access, including appropriate administrative, technical, and physical safeguards.

6.2 CertFusion's data processing obligations are further described in the Data Processing Agreement ("DPA"), which is incorporated into these Terms by reference where applicable.


7. CertFusion's Proprietary Rights

7.1 CertFusion owns all right, title, and interest in and to the Service and website, including all intellectual property rights (whether registered or unregistered). All materials on the site — including graphics, interfaces, images, software, applications, text, design, and brand features — are owned by CertFusion or its licensors, except for your Content.

7.2 CertFusion shall fully own and retain all rights to anonymised usage data derived from your use of the Service, aggregated with data from other customers, for operational, product development, and business purposes. Such usage data will not include data that could reasonably identify you.

7.3 Nothing in these Terms grants you any right to use CertFusion's trade names, trademarks, service marks, logos, or other brand features.

7.4 Subject to your compliance with these Terms (including payment of applicable fees), CertFusion grants you a limited, personal, worldwide, royalty-free, non-transferable, non-sublicensable, and non-exclusive licence to use the Service for your internal business purposes, in the manner permitted by these Terms.


8. Service Use Restrictions

8.1 You represent and warrant that you will not, and will not permit any third party to:

  • (a) attempt to circumvent any security mechanism or gain unauthorised access to the Service or any connected systems;
  • (b) use automated tools (scrapers, bots, spiders) to access, copy, or monitor any portion of the Service without authorisation;
  • (c) interfere with or disrupt the proper operation of the Service;
  • (d) forge headers or otherwise misrepresent your identity or the origin of any communication;
  • (e) use the Service for any illegal purpose or to solicit illegal activity;
  • (f) upload or transmit any malicious code, viruses, or harmful content;
  • (g) copy, modify, reverse engineer, or attempt to extract source code of any CertFusion proprietary software;
  • (h) upload, send, or process any of the following sensitive personal information: social security numbers, passport or visa numbers, driver's licence numbers, financial account or payment card details, medical or health records, or passwords; or
  • (i) use the Service in connection with the design or production of chemical, biological, or other weapons of mass destruction.

8.2 You agree to notify CertFusion if you become aware that the Service is being used for any illegal or unauthorised purpose.


9. Your Content and Licence

9.1 You are solely responsible for all information, data, text, images, certificate designs, recipient data, and other content ("Content") that you upload, transmit, or otherwise use in connection with the Service. CertFusion has no responsibility to you or any third party in connection with your Content.

9.2 CertFusion reserves the right to pre-screen, review, monitor, flag, modify, refuse, or remove any Content at any time in its sole discretion, without notice. You agree to immediately remove any Content that violates these Terms upon request by CertFusion.

9.3 CertFusion claims no ownership over your Content. You retain all intellectual property rights in your Content. By using the Service, you grant CertFusion a worldwide, royalty-free, non-exclusive licence to reproduce, display, distribute, and otherwise use your Content solely to provide and maintain the Service.

9.4 CertFusion will not disclose your Content except: (a) as authorised by you; (b) as necessary to provide the Service; or (c) as required by law, court order, or governmental authority. Where legally permitted, CertFusion will endeavour to provide reasonable notice before disclosing Content in response to a legal request.


10. Feedback

10.1 Any communications, suggestions, or recommendations you send to CertFusion regarding the Service ("Feedback") are treated as non-confidential and non-proprietary. You assign all right, title, and interest in such Feedback to CertFusion. CertFusion is free to use Feedback for any purpose, without attribution or compensation to you.


11. Exclusion of Warranties

11.1 YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. CERTFUSION AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS: (A) DISCLAIM ALL IMPLIED WARRANTIES INCLUDING NON-INFRINGEMENT, TITLE, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE; (B) DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR OPERATE IN AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE MANNER; AND (C) DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR RESULTS OBTAINED THROUGH THE SERVICE.

11.2 NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR LOSSES THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CERTFUSION OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, GOODWILL, DATA, CONTENT, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF CERTFUSION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 CERTFUSION'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CERTFUSION DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


13. Indemnification

13.1 You agree to indemnify, defend, and hold harmless CertFusion and its affiliates, officers, directors, employees, agents, successors, and assigns (each an "Indemnified Party") from and against all liabilities, damages, losses, and costs (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) any breach of these Terms by you; (c) any Content or Feedback you provide; (d) any breach of a third party's intellectual property, privacy, or other rights; (e) any damage you cause to the Service; or (f) your violation of any applicable law, rule, or regulation.

13.2 CertFusion reserves the right, at its own expense, to assume the exclusive defence of any matter subject to indemnification by you. You shall not settle any claim adverse to CertFusion without CertFusion's prior written consent.


14. Changes to the Service

14.1 CertFusion continually improves the Service. You acknowledge that the form and nature of the Service may change from time to time, including changes to fees, features, and functionality. Continued use of the Service constitutes acceptance of such changes.

14.2 Price changes will be notified at least 30 days in advance by email or website posting.

14.3 CertFusion shall not be liable for any modification, price change, suspension, or discontinuance of the Service.


15. Termination

15.1 You are solely responsible for properly cancelling your account. To request cancellation, please email hi@certfusion.com. Your account is not considered cancelled until you receive written confirmation.

15.2 Upon cancellation, your Content will become inaccessible immediately. Within 30 days, all data will be permanently deleted from backups and logs and cannot be recovered.

15.3 If you cancel before the end of your current paid billing period, your cancellation will take effect at the end of that period. No prorating of unused time will be provided.

15.4 CertFusion reserves the right to suspend or terminate your account at any time, for any reason, including breach of these Terms. Such termination may result in deletion of your account and all associated Content.

15.5 CertFusion may immediately suspend or terminate your account without notice if: (a) you breach or threaten to breach these Terms; (b) your usage is limited to file storage only; (c) you conduct unauthorised security or load testing; (d) CertFusion is required to do so by law; (e) a third-party relationship critical to the Service is terminated; or (f) continuing to provide the Service would create a substantial economic or security burden.

15.6 Any obligations under these Terms intended to survive termination — including Sections 7, 10, 11, 12, 13, and 16 — shall continue to apply.

15.7 CertFusion may notify relevant law enforcement or other authorities of any illegal conduct, including violations of these Terms.


16. Governing Law and Dispute Resolution

16.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without reference to its conflict of law rules.

16.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

16.3 Notwithstanding the foregoing, CertFusion may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or other proprietary rights.

16.4 Any cause of action arising under these Terms must be commenced within one (1) year after the claim or cause of action arises.


17. Third-Party Websites and Integrations

17.1 The Service may integrate with or link to third-party websites, services, and platforms — including Zoom, Google Meet, Webex, Typeform, Tally, Google Forms, Stripe, and others ("Third-Party Services"). CertFusion provides such integrations as a convenience and does not verify, represent, or take responsibility for Third-Party Services, including their accuracy, availability, or terms.

17.2 These Terms and the Privacy Policy do not apply to Third-Party Services. Your use of Third-Party Services is subject to their own terms and policies, and it is your responsibility to review and comply with them.


18. Miscellaneous

18.1 These Terms, together with the Privacy Policy, the Data Processing Agreement (where applicable), and any executed Order Form, constitute the entire agreement between you and CertFusion with respect to the Service, and supersede all prior agreements.

18.2 CertFusion's failure to enforce any right or provision of these Terms shall not constitute a waiver.

18.3 If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permitted to maintain the parties' intent, and all remaining provisions shall remain in full force.

18.4 Notices from CertFusion may be sent by email to your registered address, by posting on the site, or by in-application notification.

18.5 These Terms do not confer rights on any third parties, except that each Indemnified Party (as defined in Section 13) shall be a third-party beneficiary.

18.6 CertFusion may assign or transfer its rights and obligations under these Terms at any time. You may not assign your rights or obligations without CertFusion's prior written consent.

18.7 CertFusion shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, governmental actions, epidemics, power failures, or internet disruptions.

18.8 CertFusion may amend these Terms at any time. Material changes will be notified by email or site posting with at least 30 days' notice. Continued use of the Service after the effective date of any amendment constitutes acceptance.
